1. Call to Order.

President Michael Paulson called the Annual Meeting of the membership of Bartonville Water Supply Corporation to order at 7:35 P.M. on Monday, April 8, 2002 at the Crossroads Bible Church, 9099 Justin Road, Bartonville, Texas.

 

2. Welcome and Introductions

President Paulson welcomed the members and introduced the directors, consultants, guest, and staff present.

3. Credentials Committee Report

The Credentials Committee reported that a quorum was present as the required 10% or 182 members of the 1,818 eligible members were present or represented by proxy. There were 279 members represented by proxy and 12 members were present.

 

4. Approve Minutes of the April 9, 2001 Annual Meeting

The minutes of the April 10, 2001 Annual Meeting were read by Jennifer Drury. Motion by Duane Johnson and second by Scott Kilpatrick to approve the minutes. Motion approved unanimously.

 

5. 2001 Audit Report

Dan Tonn, with Hankins, Powers, Eastup, Deaton, & Tonn who performed the 2001 audit, reviewed the 2001 Financial Highlights. Mr. Tonn reviewed the most significant financial transaction that occurred during 2001, the release of the CCN to Lantana. Mr. Tonn stated the value of the Lantana payment was $3,000,000.00 over a ten- year period, which was booked as income receivable. Mr. Tonn stated that the two significant additions to fixed assets were the purchase of the four- acre tract near Saddlebrook for a future well site and the continuing project of installing remote read meters. Mr. Tonn stated that revenues were down due to the decreased water demand and that overall the corporation is in excellent financial health. Copies of the financial highlights were available to the membership and were displayed on the overhead projector. Mr. Tonn answered questions from the membership. Motion by Kilpatrick and second by Alberts to accept the 2001 Audit Report. Motion approved unanimously.

 

6. Election of Two Directors

President Paulson announced that Anderson's and Kaufman's terms had expired and that he would entertain nominations for two directors. Kaufman and Anderson were nominated. Motion by Johnson and second by Alberts that nominations cease. Motion carried unanimously.

Motion by Kilpatrick and second by Mutschler to accept the votes by acclamation.

 

7. Residential Landscape Irrigation Presentation

Leggieri introduced the guest speaker, John Cooper, horticulturist and Denton County Agricultural Extension Agent. In his presentation, Cooper stressed water smart tips for a lower water bill and a healthier lawn. Following his presentation Cooper answered members' questions. He also had brochures from the Texas Agricultural Extension Service available for members. Paulson extended the corporation's appreciation to Cooper for his presentation.

 

8. Drawings for Prizes

President Paulson asked for a volunteer to draw the tickets and proxies for the water prizes; Caitlyn, Shelby and Lauren Kilpatrick volunteered.

9. Election Results

Anderson and Kaufman were elected by acclamation.

 

10. Adjournment

Motion by Jennifer Drury and second by Kilpatrick that the meeting adjourn. Motion approved unanimously. The meeting adjourned at 8:52 p.m.
